These Terms and Conditions ("Terms") govern your access to and use of the Annotexia website and any data annotation, data labeling, quality assurance, data preparation, and related services provided by Annotexia ("Annotexia", "we", "us", or "our").

By accessing our website, submitting an inquiry, requesting a quotation, or engaging Annotexia for services, you acknowledge that you have read, understood, and agreed to these Terms.

If you do not agree with these Terms, please do not use our website or services.

Annotexia provides AI data services designed to support machine learning and artificial intelligence development. Depending on the project, our services may include:

• Image annotation and image labeling
• Video annotation and object tracking
• Text annotation and NLP data labeling
• Audio annotation and transcription
• LiDAR and 3D data annotation
• OCR and document data labeling
• Semantic and instance segmentation
• Bounding box and polygon annotation
• Keypoint and landmark annotation
• Sports analytics data annotation
• Computer vision dataset preparation
• Quality assurance and data validation
• Custom data labeling and AI training data services

The exact scope, deliverables, timelines, quality requirements, pricing, and other project-specific conditions will be defined in the applicable quotation, proposal, statement of work, purchase order, or service agreement.

Clients are responsible for providing accurate and complete project requirements, annotation guidelines, reference materials, and any other information reasonably required to perform the services.

Where applicable, clients should provide:

• Source datasets or project files
• Annotation instructions and class definitions
• Examples of acceptable and unacceptable annotations
• Required output formats
• Quality and acceptance criteria
• Expected delivery timelines
• Any domain-specific requirements

Delays caused by incomplete requirements, unavailable data, changing instructions, or delayed client feedback may affect the agreed project timeline.

Pricing is determined based on factors such as dataset volume, annotation complexity, project requirements, quality standards, turnaround time, tooling requirements, and other project-specific considerations.

Any quotation provided by Annotexia is based on the information available at the time of quotation and may be revised if project requirements materially change.

Payment terms, billing schedules, taxes, applicable fees, and accepted payment methods will be specified in the applicable quotation, invoice, purchase order, or service agreement.

Unless otherwise agreed in writing, additional work resulting from changes in scope or requirements may be subject to additional charges.

Annotexia may offer a limited free sample annotation to prospective clients so they can evaluate annotation quality, communication, and workflow before starting a larger project.

Free sample availability, scope, dataset size, turnaround time, and applicable conditions may vary depending on the project.

A free sample does not create an obligation for either party to enter into a larger commercial engagement.

Unless otherwise agreed in writing, the client retains ownership of datasets, files, documents, images, videos, audio recordings, intellectual property, and other materials supplied by the client ("Client Data").

Annotexia does not acquire ownership of Client Data merely by receiving or processing it for the purpose of providing contracted services.

The client represents that it has the necessary rights, permissions, licenses, and authorizations to provide Client Data to Annotexia and to authorize its processing for the requested services.

Annotexia understands that client projects may contain confidential, proprietary, commercially sensitive, or otherwise restricted information.

We will use reasonable measures to protect confidential project information and restrict access to personnel or service providers who require access for the performance of the agreed services.

Where required, the parties may enter into a separate Non-Disclosure Agreement ("NDA"). If a separately executed NDA contains confidentiality obligations that conflict with these Terms, the applicable NDA will govern to the extent of the conflict.

Annotexia uses reasonable administrative, technical, and organizational measures intended to protect information handled in connection with its services.

• Access-controlled project environments
• Role-based access where appropriate
• Restricted access to client project data
• Secure data transfer methods where applicable
• Confidentiality obligations for authorized personnel
• Reasonable security practices for project workflows

No internet-based system or electronic transmission can be guaranteed to be completely secure. Clients should avoid providing information that they are not authorized to share.

Annotexia may use quality-control procedures such as annotation guidelines, reviewer checks, sampling, error analysis, and corrective feedback to maintain project quality.

Project-specific accuracy targets, acceptance criteria, sampling methodology, and rework requirements will be determined according to the applicable project agreement.

Where a client identifies work that does not meet the agreed acceptance criteria, Annotexia will reasonably review the reported issue and, where applicable, perform corrections in accordance with the agreed project terms.

Deliverables will be provided in the format and manner agreed for the applicable project. Depending on the project, deliverables may include annotated images, videos, text datasets, audio datasets, structured metadata, XML, JSON, CSV, COCO, YOLO, Pascal VOC, or other agreed formats.

Delivery timelines depend on project scope, dataset volume, annotation complexity, quality requirements, client feedback, and other agreed conditions.

Clients may request changes to project requirements, annotation classes, guidelines, formats, quality thresholds, volumes, or timelines.

Material changes may require a revised quotation, delivery schedule, staffing plan, or project agreement.

Annotexia will communicate material changes in scope and their potential impact on cost or delivery before proceeding where reasonably practicable.

Unless otherwise agreed in writing, each party retains ownership of intellectual property it owned before the engagement.

Client-owned datasets and client-provided materials remain the property of the client, subject to the terms of the applicable agreement.

Rights relating to project deliverables, annotations, transformed datasets, documentation, workflows, templates, tools, software, methodologies, and other work products will be governed by the applicable project agreement.

Annotexia retains ownership of its pre-existing tools, methodologies, know-how, processes, templates, software, and intellectual property unless expressly transferred under a written agreement.

You agree not to use the Annotexia website or services for unlawful, fraudulent, abusive, or unauthorized purposes.

You must not knowingly provide data that you do not have the legal right or authorization to provide for processing.

Annotexia reserves the right to refuse or suspend a project where the requested activity presents legal, security, ethical, or operational concerns.

Certain projects may require the use of third-party annotation platforms, cloud infrastructure, communication systems, storage services, or other software.

Where third-party services are used, their availability and operation may be subject to the third party's own terms, policies, and technical limitations.

Annotexia is not responsible for outages, failures, or changes to third-party services that are outside our reasonable control.

Information published on the Annotexia website is provided for general informational and business purposes.

We make reasonable efforts to keep website information accurate and current, but we do not guarantee that every website statement, description, statistic, or service reference will always be complete, accurate, or up to date.

Project-specific commitments are governed by the applicable quotation, proposal, statement of work, purchase order, or written agreement rather than general website content.

Annotexia provides data annotation and related services to support AI and machine learning development. Our services do not guarantee the accuracy, performance, commercial success, safety, or effectiveness of any artificial intelligence or machine learning model developed using the resulting datasets.

Model performance depends on numerous factors beyond annotation, including model architecture, training methodology, dataset selection, data distribution, preprocessing, deployment environment, and other technical considerations.

To the maximum extent permitted by applicable law, Annotexia will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, business, goodwill, or anticipated savings arising from or relating to the use of our website or services.

Any liability arising from a specific project will be subject to the limitations, exclusions, and remedies set out in the applicable written agreement between Annotexia and the client.

Nothing in these Terms is intended to exclude or limit liability that cannot lawfully be excluded or limited under applicable law.

To the extent permitted by applicable law and subject to the applicable agreement, you agree to indemnify and hold Annotexia harmless from claims, losses, liabilities, damages, costs, and expenses arising from:

• Your unauthorized use of the website or services.
• Your violation of these Terms.
• Your infringement of third-party intellectual property rights.
• Your failure to obtain required rights or permissions for Client Data supplied to Annotexia.

Either party may terminate a project in accordance with the termination provisions contained in the applicable project agreement.

Annotexia may suspend access to its website or services where reasonably necessary due to security concerns, unlawful activity, non-payment, material breach, or other circumstances permitted by the applicable agreement or law.

Upon termination, each party will comply with applicable obligations concerning payment, confidentiality, data return or deletion, intellectual property, and other surviving obligations.

Annotexia will not be responsible for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, war, government actions, widespread network or infrastructure failures, major cybersecurity incidents, power outages, telecommunications failures, labor disruptions, or failures of critical third-party services.

Where reasonably possible, Annotexia will communicate material disruptions and work with the client to establish an appropriate recovery plan.

These Terms will be governed by and interpreted in accordance with the laws of India, subject to applicable mandatory legal requirements.

The parties will first attempt to resolve disputes through good-faith discussions and commercial negotiation.

If a dispute cannot be resolved through negotiation, the parties may pursue mediation, arbitration, or court proceedings as agreed under the applicable project agreement and permitted by applicable law.

Any specific jurisdiction or arbitration seat applicable to a commercial engagement should be expressly stated in the relevant written agreement.
